These Terms of Use and End User License Agreement form a legally binding agreement between the user and Redefining Strength, LLC, a California limited liability company (“Redefining Strength”). Please read this agreement carefully.

1. Overview

By visiting the Redefining Strength website or using the Redefining Strength mobile application, you agree to be bound by these Terms of Use. You acknowledge that you have read, understood, and accepted these Terms, including any applicable guidelines and future updates (collectively, the “Terms”). If you do not agree to the Terms, you may not access or use the Redefining Strength services.

These Terms apply to all use of the website, mobile application, and any actions or communications conducted through either platform or via email (collectively, the “Services”). Continued use of the Services constitutes acceptance of these Terms and any subsequent modifications. If at any point you do not agree to the Terms or any updates, use of the Services must be discontinued.

2. Content and License to Use Services  

For purposes of these Terms, all materials on the Services, including information, methods, data, designs, graphics, images, sound files, downloadable files, and their arrangement—are referred to as “Content.” All Content and any software made available through or used to operate the Services is the property of Redefining Strength or its licensors, and is protected by U.S. and international copyright laws. All rights to the Content and software are expressly reserved.

Trademarks, registered trademarks, product names, and company names or logos appearing in the Services are the property of their respective owners. Any reference to third-party products, services, suppliers, or trademarks does not imply endorsement or recommendation by Redefining Strength.

Redefining Strength grants a limited, revocable, non-exclusive, non-sublicensable license to access and use the Services and view, copy, and print portions of the Content for personal use or for use within a specific business context. Distribution of any Content to third parties is prohibited without prior written permission from Redefining Strength. This license is subject to compliance with these Terms and may be terminated at any time.

Any unauthorized use of Content, software, or other proprietary materials may violate copyright, trademark, or other applicable laws, and will result in termination of the license granted in this section. Nothing in these Terms shall be interpreted as granting any intellectual property rights unless expressly stated.

3. Your Content

Any information submitted or shared with Redefining Strength through the Services is considered “User Content.” By providing User Content, the user grants Redefining Strength, its affiliates, service providers, and their respective licensees, successors, and assigns a license to use, reproduce, modify, perform, display, distribute, and disclose such content for the purpose of providing the Services and as otherwise permitted under these Terms.

Redefining Strength does not claim ownership of User Content, including but not limited to text, data, images, photographs, music, audio, video, or other material uploaded, transmitted, or stored through the Services. Responsibility for the legality, reliability, accuracy, and appropriateness of any submitted User Content remains solely with the user. Redefining Strength is not responsible or liable to any third party for the content or accuracy of any User Content.

By submitting User Content, the user affirms, represents, and warrants that the content does not and will not: (i) violate these Terms; (ii) infringe, violate, or misappropriate any third-party rights, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (iii) slander, defame, or libel any other person; or (iv) contain any viruses, adware, spyware, worms, or other malicious code. Violators of any third-party rights may be subject to criminal and civil liability, and Redefining Strength reserves all rights and remedies in such cases.

If Redefining Strength receives a report or has reason to believe that any User Content violates these Terms or infringes upon another party’s rights, the content may be removed immediately, without prior notice and without any obligation to investigate the claim. Redefining Strength also reserves the right, at its sole discretion, to remove any User Content at any time and for any reason.

4. Your Limited License of User Content to Us

Redefining Strength does not claim ownership of User Content. However, a license is necessary to operate the Services and deliver content-related functionality. This includes using User Content as needed to provide the Services and to aggregate data, in accordance with the Privacy Policy, to offer additional features, insights, or services to users. 

By submitting or distributing User Content through the Services, the user grants Redefining Strength and its affiliates a non-exclusive, royalty-free, sub-licensable, and transferable license to use, display, perform, reproduce, distribute, publish, modify, adapt, translate, and create derivative works from such content within the Services, in the manner and for the purposes the Services may require from time to time.

The user also represents and warrants that they either own and control all rights in the User Content or have lawful authority to submit and distribute such content, and that doing so does not violate these Terms or the rights of any other person or entity.

If User Content is intended to be shared with other users, this license extends to allow Redefining Strength and its affiliates to grant non-exclusive, royalty-free, and transferable sublicenses to those users, solely for purposes related to their use of the Services.

These licenses are non-exclusive, meaning the user retains the right to use their own content elsewhere. They are royalty-free, meaning Redefining Strength is not obligated to provide compensation for use of the content. They are transferable, meaning the rights may be assigned to a successor operator of the Services if necessary. Redefining Strength may also aggregate and anonymize data generated through the Services and may transfer or sell that aggregate data to third parties. Any modifications, adaptations, translations, or derivative works created from User Content during normal operation of the Services will be considered the property of Redefining Strength.

5. Prohibited Activities; Enforcement of Policies

By using the Services, the user agrees not to, and not to authorize or encourage any third party to: (a) upload, store, transmit, or distribute any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, contains viruses, or is otherwise objectionable as reasonably determined by Redefining Strength; (b) upload, store, transmit, or distribute content that infringes upon the intellectual property, contractual, fiduciary, or proprietary rights of any other party; (c) use the Services for any fraudulent or inappropriate purpose; (d) impersonate any individual or entity, falsely claim affiliation with any person or organization, access accounts without permission, forge digital signatures or identities, misrepresent the source or content of transmissions, or engage in similar fraudulent activity; or (e) use the Services for any illegal purpose, or in violation of any local, state, national, or international law, including those governing intellectual property, data privacy, and proprietary rights.

The Services may not be used for any wagering-related activity, including sharing information with individuals or entities involved in offering, supplying, or participating in betting services. Any person who becomes a user in breach of this term, or attempts to do so, shall be deemed to have engaged in fraudulent, misleading, and deceptive conduct. Such individuals shall be held fully responsible and legally liable for any resulting harm or violation of these Terms.

Redefining Strength reserves the right to monitor and review User Content to ensure compliance with these Terms. If, in the sole discretion of Redefining Strength, a user is found to be in violation of these Terms, Redefining Strength may immediately terminate that user’s account without prior notice or recourse.

6. Linking to the Services

External links to the Services are permitted, provided that: (a) no advertisements, copyright notices, or other legal notices on the Services are removed or obscured by framing or other methods; (b) the linking website does not engage in illegal, offensive, or pornographic activities; and (c) all links to the Services are promptly removed upon request by Redefining Strength.

7. Registration

Access to certain features of the Services may require registration. By registering, the user agrees to provide accurate and complete information. Registration must be completed using the user’s real name and truthful details. Users must be at least 18 years old to access or use the Services.

Each user is responsible for maintaining the confidentiality of all login credentials, including user IDs and passwords, and for preventing unauthorized access to their account. The user accepts full responsibility for any activity that occurs under their registration. Sharing login information is strictly prohibited. If there is reason to believe that login credentials have been compromised, the user agrees to notify Redefining Strength immediately via email or telephone.

Redefining Strength is not liable for any consequences resulting from false, incomplete, incorrect, stolen, or lost registration information.

8. Inactive Accounts, Cancellation, and Termination

Access to the Services may be terminated by Redefining Strength at any time and without notice if, in its sole discretion, a user violates these Terms. In cases where a user has entered into a paid agreement for coaching, subscriptions, or other services, cancellation or early termination is governed by the terms of that specific agreement and the applicable refund policy.

Users may choose to stop using the Services at any time; however, doing so does not entitle the user to a refund unless expressly outlined in the applicable refund policy or agreement. Terminating use of the Services does not release the user from any payment obligations already agreed to in a signed contract.

Redefining Strength may, but is not obligated to, retain archival copies of User Content for up to sixty (60) days following termination. For details related to refund eligibility and terms for specific programs, subscriptions, and products, please refer to the Refund Policy.

9. Advertisers

The Services may include advertisements and sponsorships. Advertisers and sponsors are solely responsible for the accuracy and legality of the content they submit for inclusion. Redefining Strength does not endorse, guarantee, or assume responsibility for any advertising or sponsorship content and is not liable for any errors, inaccuracies, or legal issues contained in such materials.

10. Errors, Corrections, and Changes

Redefining Strength does not warrant that the Services will be error-free, free of viruses or other harmful components, or that any defects will be corrected. No guarantees are made regarding the accuracy, timeliness, reliability, or completeness of the information provided through the Services.

Redefining Strength may make changes to the features, functionality, or content of the Services at any time, in its sole discretion. This includes the right to edit or delete any documents, data, or other materials appearing on the Services. There is no obligation to provide support, corrections, upgrades, bug fixes, or enhancements.

11. Unlawful Activity

Redefining Strength reserves the right to investigate any complaints or reported violations of these Terms and to take appropriate action. This may include, without limitation, reporting suspected unlawful activity to law enforcement agencies, regulatory bodies, or other relevant third parties. Redefining Strength may disclose any information deemed necessary or appropriate in connection with such investigations, including user profiles, email addresses, usage history, posted content, IP addresses, and traffic data.

12. Legal Compliance

Users agree to comply with all applicable local, state, national, and international laws, statutes, ordinances, and regulations in connection with their use of the Services and any content or materials accessed through the Services.

13. Electronic Communications

By using the Services or sending emails to Redefining Strength, users consent to receive communications electronically. Communications may be delivered via email or through notices posted within the Services. Users agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

14. Service Interruptions

Redefining Strength is not liable for any delay or failure in performance resulting from causes beyond its reasonable control. This includes, but is not limited to, interruptions caused by third-party service providers, internet outages, acts of God, natural disasters, government actions, or other unforeseen events.

15. Third-Party Services

Some Services provided by Redefining Strength are supported or delivered through third-party vendors. By using the Services, users consent to Redefining Strength’s use of such vendors and to the sharing of User Content and personal information with them as necessary to facilitate service delivery. Redefining Strength is not responsible for any damages, losses, or liabilities arising from the actions or performance of third-party vendors.

16. Data Confidentiality and Security

Redefining Strength takes commercially reasonable measures to protect the confidentiality and security of User Content during storage and transmission. However, no method of electronic storage or transmission is entirely secure, and Redefining Strength cannot guarantee absolute security.

17. Privacy

User privacy is important to Redefining Strength. The Redefining Strength Privacy Policy is incorporated into these Terms by reference. Users are encouraged to review the Privacy Policy for details on how personal information is collected, used, and disclosed in connection with the Services.

18. Modification of These Terms

Additional guidelines or rules may be posted from time to time in connection with specific features or services. All such guidelines are incorporated into these Terms by reference. Redefining Strength may modify or update these Terms and related policies at its sole discretion. Continued use of the Services following any changes constitutes acceptance of the updated Terms. Users who do not agree to the current version must discontinue use of the Services.

Redefining Strength may choose to notify users of material changes to these Terms by posting an announcement on the website or by sending a communication. Any such notice, if provided, may be displayed for a limited period following the update.

19. Indemnification and Hold Harmless

Users agree to defend, indemnify, and hold harmless Redefining Strength, along with its affiliates, officers, directors, employees, and agents, from and against any and all claims, demands, actions, liabilities, losses, costs, or expenses—including reasonable attorneys’ fees and settlements—arising out of or related to: (a) use of the Services; (b) any breach or alleged breach of these Terms, including warranties, representations, and covenants; (c) any violation of third-party rights related to User Content; (d) any claim that User Content caused harm or damage to a third party; or (e) any other violation of these Terms.

This obligation to indemnify and hold harmless shall survive the termination of these Terms and any related licenses or agreements with Redefining Strength.

20. Disclaimer of Warranties and Limitation of Liability

Use of this website and the Services is at the sole risk of the user. The website and Services are provided “as is,” “as available,” and “with all faults.” Redefining Strength, along with its officers, directors, employees, agents, and third-party service providers, disclaims all warranties—statutory, express, or implied—including, but not limited to, implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement.

Redefining Strength and its affiliates make no representations or warranties regarding: (i) the accuracy, completeness, or content of the website or Services; (ii) the accuracy, completeness, or content of any third-party sites linked to the website; or (iii) any products or services offered on the website or on third-party sites accessed through hyperlinks, banner ads, or other means. Redefining Strength assumes no liability or responsibility for any of the foregoing.

This disclaimer of warranties applies to the fullest extent permitted by law and will survive the termination or expiration of these Terms and any use of the website or Services.

21. Medical Disclaimer

Redefining Strength does not provide medical advice. All content, programs, and guidance offered through the Services are for informational and educational purposes only and are not intended to replace or substitute professional medical advice, diagnosis, or treatment.

Users are solely responsible for their own health decisions. Before beginning any fitness, nutrition, or wellness program provided by Redefining Strength, users should consult with a physician or licensed healthcare provider to ensure the program is appropriate for their personal health status and conditions. Participation in any program offered by Redefining Strength is voluntary and at the user’s own risk.

22. Testimonials and Results Disclaimer

Any testimonials, case studies, or success stories presented on the website or through the Services reflect individual experiences and are not intended to guarantee, represent, or assure that any other user will achieve the same or similar results.

Results vary based on numerous factors, including individual starting points, consistency, effort, genetics, and adherence to the program. Redefining Strength makes no claims or warranties regarding typical or expected outcomes from use of its programs or Services.

23. Limitation of Damages

To the maximum extent permitted by applicable law, Redefining Strength and its suppliers shall not be liable for any consequential, incidental, direct, indirect, special, punitive, or other damages arising out of or related to the use of, or inability to use, the Services. This includes, but is not limited to, damages based on contract, tort, negligence, strict liability, or any other legal theory, even if Redefining Strength or its suppliers have been advised of the possibility of such damages. This limitation applies regardless of whether any remedy fails of its essential purpose.

Any cause of action or claim arising out of or relating to these Terms or the Services must be initiated within one (1) year after the claim arises. Otherwise, such claim is permanently barred.

24. U.S. Government Restricted Rights

The Services and related documentation are provided as “Commercial Items,” as defined in 48 C.F.R. §2.101, and include “Commercial Computer Software” and “Commercial Computer Software Documentation,” as those terms are used in 48 C.F.R. §12.212 and 48 C.F.R. §227.7202, as applicable.

In accordance with 48 C.F.R. §12.212 or §§227.7202-1 through 227.7202-4, the Services and related documentation are licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights granted to all other end users under these Terms. All unpublished rights are reserved under the copyright laws of the United States.

25. Miscellaneous Terms

These Terms are governed by and construed in accordance with the laws of the State of California, excluding its conflict of law principles. All disputes arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California.

Redefining Strength may assign or transfer these Terms and its rights in the Services without restriction. Users may not assign or transfer their rights or obligations under these Terms without prior written consent from Redefining Strength.

By using the Services, users affirm that they are legally competent to enter into these Terms and to be bound by the conditions, representations, warranties, and obligations contained herein. If any provision of these Terms is held to be illegal or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

No failure or delay in exercising any right or remedy under these Terms shall be considered a waiver of such right or remedy. Acceptance of these Terms constitutes consent for Redefining Strength to send periodic communications, including system notifications, newsletters, and marketing materials. Users may unsubscribe from marketing communications at any time.
